• Avoid fraudsters, unethical people, bad deals, and litigation, by conducting Due Diligence on other Party
• Think through the terms of your business transaction, do the math on the mechanics of payment
• Write Your Bullets of desired Business Terms
• Learn Elements of a Valid Contract;
• Learn Contract Terms and Provisions to include, such as Payment, Deliverables,  
• Reading, Writing, Understanding, and Negotiating a Contract
• What Parts to Read & Write yourself in the Contract vs what Parts to leave for your lawyer to read & write
• In writing, be clear, and use plain English
• Be prepared with knowledge of the subject matter, terms, the market, the competitors, and your other party
• Representations and Warranties
• Nondisclosure, noncompete, NonSolicitation
• Compliance With Terms, such as insurance and delivery dates
• Risk Shifting, Insurance, Indemnification
• In Negotiations be respectful, polite, firm, know what you want, don’t be a jerk (It is not litigation)
• Breach of Contract
